Acceptable Use Policy

CHARGER ACCESS, LLC. (“CHARGER ACCESS”) has created this Acceptable Use Policy (“AUP”) for the reasonable and responsible use of CHARGER ACCESS Products and Services (collectively, the “Services”) by Customers who purchase and use the Services. By using the Services, Customer agrees to be duly bound by all the terms and conditions of this AUP, and this AUP is hereby incorporated into the CHARGER ACCESS, LLC. Business Customer Terms and Conditions of Service and Use as executed by the Customer. CHARGER ACCESS reserves the right to change or modify this AUP at any time at its sole discretion and will provide Customer with notification of such change by uploading to the Customer’s portal, via email, posting changes to the CHARGER ACCESS website, and/or other means as appropriate to CHARGER ACCESS.

Neither the Customer and/or any of Customer’s Users shall use the Services for fraudulent, illegal, or improper use, or any other like or similar type of action that in any way would interfere with CHARGER ACCESS’s ability to provide the highest quality of the Service to other Customers, restricts or prohibits other CHARGER ACCESS Customers from using the Service, or causes damage to CHARGER ACCESS Customers and/or CHARGER ACCESS networks, hardware, infrastructure, software, and any and/or all of CHARGER ACCESS property.


1. Violation of CHARGER ACCESS AUP

Customer violation(s) of the CHARGER ACCESS AUP constitutes a material breach of the CHARGER ACCESS Business Customer Terms & Conditions of Service and Use. As such, if and when CHARGER ACCESS comes to find that Customer has breached the CHARGER ACCESS AUP, CHARGER ACCESS at its sole discretion will exercise its rights to:

A. Restrict Customer’s and Customer’s Users’ usage of some, any, and/or all of the Services;

B. Suspend Customer’s service for a time period CHARGER ACCESS deems fit;

C. Terminate the Customer’s Business Customer Terms & Conditions of Service and Use immediately, or take any other action CHARGER ACCESS deems required to enforce the terms stated herein this AUP; and/or

D. Take steps and measurements of any of the above either individually or in any combination. However, in the event CHARGER ACCESS is required to take any of the above steps, the Customer shall not be relieved of any payment obligation which may be due and owed to CHARGER ACCESS. Additionally, Customer may also be required to remit payment to CHARGER ACCESS for additional damages as stated in the CHARGER ACCESS Business Customer Terms & Conditions of Service and Use, that include but are not limited to: Service termination fees, hardware costs and equipment fees, and reasonable attorneys’ fees.


2. Data Services

2.1 Service Use

The use of CHARGER ACCESS internet service entitles a Customer to access to the Internet. Based on the Services Customer purchases, Customer will have access to the capacity Customer has ordered as stated on the Customer Service Order Form.

2.2 Acceptable Data Uses

CHARGER ACCESS data services are intended to be used for the following permitted activities: (a) web browsing; (b) email; (c) intranet access; (d) uploading and downloading standard applications and content to and from the Internet; and (e) using applications and content without excessively contributing to network congestion.

2.3 Prohibited Data Uses

CHARGER ACCESS data services are not intended to be used in any manner which has any of the following effects, and such use is prohibited if in CHARGER ACCESS’s sole discretion it: (a) conflicts with any governmental rule, regulation, or law; (b) hinders other Customers’ access to the CHARGER ACCESS network; (c) compromises network capacity or security; (d) excessively contributes to network congestion; (e) impacts network service levels in a negative way or adversely impacts legitimate data flows; (f) degrades network performance in any manner; (g) causes harm to the CHARGER ACCESS network; (h) is resold either alone or as part of any other good or service; (i) requires a specific Service plan for a particular use and Customer has not subscribed to that plan; or (j) such usage is excessive or unreasonable.

In addition to any other actions CHARGER ACCESS may take for violations of this AUP, if in our sole discretion we reasonably believe that Customer is using CHARGER ACCESS Services in any manner that is prohibited, then we may without advance notice: (a) reduce Customer’s data throughput speeds; (b) restrict, interrupt, or terminate any data session; (c) suspend, cancel, or terminate Customer’s data services; (d) terminate Customer’s account; (e) move Customer to a more appropriate service plan with increased data or high-speed data access allowances; and/or (f) decline to renew Customer’s Service.

2.4 Examples of Prohibited Data Uses

CHARGER ACCESS data services may not be used in any manner that defeats, obstructs, or penetrates, or attempts to defeat, obstruct, or penetrate the security measures of our network or systems, or another entity’s network or systems; that accesses, or attempts to access without authority, the accounts of others; or that adversely affects the ability of other people or systems to use CHARGER ACCESS Services or other parties’ Internet-based resources. This includes, but is not limited to, malicious software or “malware” that is designed, intentionally or unintentionally, to infiltrate a network or computer system such as spyware, worms, Trojan horses, root-kits, and/or crime-ware; “denial of service” attacks against a network host or individual user; and “spam” or unsolicited commercial or bulk email (or activities that have the effect of facilitating unsolicited commercial email or unsolicited bulk email).

CHARGER ACCESS data services may not be used in any manner that has the effect of excessively contributing to network congestion, hindering other Customers’ access to the network, or degrading network performance by maintaining a sustained or continuous data service connection or active Internet connection. This includes, but is not limited to: server devices or host computer applications such as continuous web camera posts or broadcasts, automatic data feeds, or automated machine-to-machine connections; “auto-responders,” “cancel-bots,” or similar automated or manual routines that generate excessive amounts of traffic or that disrupt user groups or email use by others; use of data services as a substitute or backup for private lines or full-time or dedicated data connections; peer-to-peer (P2P) file sharing services; and software or other devices that maintain continuous active Internet connections when a connection would otherwise be idle, or any “keep alive” functions.

CHARGER ACCESS data services may not be used with high-bandwidth applications, services, and content not optimized to work with CHARGER ACCESS data services and that therefore disproportionately and excessively contribute to network congestion. This includes, but is not limited to: redirecting television signals for viewing on computing devices, web broadcasting, and/or the operation of servers, telemetry devices, or supervisory control and data acquisition devices.


3. Voice Services

Voice services are primarily provided for live dialog between two individuals. Customer may not use the voice Services for commercial uses, which include but are not limited to:

A. Using the Services in any way that is in violation of any applicable laws, threatening, obscene, defamatory, harassing, deceptive, libelous, fraudulent, malicious, infringing, or invasive of any other individual’s privacy;

B. Providing rights to affiliates and/or third parties with respect to the Services. Reselling, exporting, leasing, distributing, importing, selling, or in any other fashion granting rights to affiliated and/or unaffiliated third parties with respect to the Services, and any software or hardware used in conjunction with CHARGER ACCESS’s delivery of Services or any part thereof, without CHARGER ACCESS’s formal and prior written consent;

C. Undertaking, attempting, permitting, causing, directing, or authorizing the modification, copying, creation of derivative works, reverse engineering, decompiling, disassembling, or hacking of the Services or any CHARGER ACCESS software and hardware used in conjunction with the delivery of Services, or any portion thereof;

D. Engaging in the transmission of pirated software;

E. Transmitting communications in any manner that would violate any applicable laws or using the CHARGER ACCESS Services to facilitate any form or type of illegal activity;

F. Utilizing the Services in excess of what CHARGER ACCESS, in its reasonable discretion, deems would be expected of and constitute normal business use;

G. Gaining and/or attempting to gain access to or use any device, network, system, plan, account, or service in any unauthorized manner;

H. Any acts which may engage or allow traffic pumping, access stimulation, simulation of calls through Customer’s Service or the CHARGER ACCESS network by the use of an auto dialer or predictive dialer, and/or computer systems to generate excessive calls and to continuously dial or place outbound calls; high volume short duration (“HVSD”) calls; or any other act which may precipitate high and excessive call volumes to a Customer’s Service plan;

I. Sending advertisements, messages, mail messages (including email, voicemail, SMS), and/or faxes without the consent of the recipient in violation of the Telephone Consumer Protection Act (“TCPA”) or otherwise in violation of any applicable law;

J. Intentionally engaging in broadcasting and/or blasting bulk communications, advertisements, or messages, including but not limited to facsimile, internet facsimile, email, SMS, and voicemail;

K. Spidering, harvesting, or any other form of collection of information about others, including phone numbers and email addresses, unless Customer has obtained the respective individual’s approval and consent so as not to breach applicable data protection or privacy laws;

L. Creating a false Caller ID identity, ID spooling, or ID spoofing; altering the ANI; forging email/SMS addresses; or otherwise attempting to mislead others as to the identity of the originating caller and/or sender of any form of communication made using the Services;

M. Knowingly, negligently, willfully, intentionally, or otherwise sending and/or transmitting any form of material that contains time bombs, viruses, malware, Trojan horses, worms, spyware, any other form of material which would create a Denial of Service (“DoS”), or any other programs using CHARGER ACCESS Services, network, and infrastructure that may be harmful or dangerous;

N. Using the Services delivered by CHARGER ACCESS in any way that interferes with, prevents, disrupts, or restricts any other Customers’ or third parties’ enjoyment and use of the Services;

O. Displaying or using any CHARGER ACCESS trade or word marks in any manner without CHARGER ACCESS’s express prior written permission, to be granted or denied at CHARGER ACCESS’s sole discretion;

P. The transmission of any material that may misappropriate or may infringe and/or otherwise violate CHARGER ACCESS’s Intellectual Property rights, rights of privacy, or those of CHARGER ACCESS affiliates and third parties without the prior written permission of CHARGER ACCESS, which owns all CHARGER ACCESS marks, of its affiliates that own any such Affiliated Mark, and/or the third party that owns any such Third-Party Mark;

Q. Network interference: interfering with or disrupting networks or systems connected to the Services;

R. Disabling, attempting to disable, attempting to circumvent, or circumventing any security mechanism related to the Services;

S. Monitoring, modifying, intercepting, capturing, replicating, mimicking, decrypting, or redirecting any communication or data for any purpose, including without limitation causing any CHARGER ACCESS Service and/or product to connect to any computer server or other device not authorized by CHARGER ACCESS, LLC.;

T. Employing or using any methods and/or devices that are designed to take advantage of, exploit, bypass, violate, or otherwise avoid compliance with respect to all of the CHARGER ACCESS Business Customer Terms & Conditions of Service and Use, the CHARGER ACCESS Terms and Conditions of Service/Use, any of the CHARGER ACCESS governing program and policy documents, and/or any applicable U.S. and international laws;

U. Allowing any other Service Provider or any other third party to use or execute any software commands, programs, or modifications that facilitate the maintenance or repair of any software or hardware used in conjunction with CHARGER ACCESS’s delivery of the Services, unless that Service Provider or third party is an authorized affiliate or provider that is acting with and in CHARGER ACCESS’s authorization;

V. Engaging in or allowing forwarding or trunking of Customer’s CHARGER ACCESS telephone or facsimile number to any other number or numbers that are capable of handling multiple simultaneous calls, or to a private branch exchange (PBX) or a key system.

In addition to any other actions CHARGER ACCESS may take for violations of this AUP, if in our sole discretion we reasonably believe that Customer is using CHARGER ACCESS voice services in any manner that is prohibited, then we may without advance notice: (a) terminate individual calls; (b) suspend, cancel, or terminate Customer’s voice services; (c) terminate Customer’s account; and/or (d) decline to renew Customer’s Service.


4. Video and Audio Recordings

A. Features of Video and Audio Services with CHARGER ACCESS allow Customer and its users of the Services to record video and audio or other communications. The notification and consent requirements relating to the recording of videos and/or other communications may vary from state to state and country to country. Customer should consult with an attorney prior to recording any video or audio, as some states or countries may require users to obtain the prior consent of all parties to a recording or other video or audio communication before the public or employees are recorded. Customer represents and warrants that Customer will review all applicable laws before Customer’s use or allowance of use of the Services to record any videos or other audio communications, and will at all times comply with all applicable laws. Customer agrees to inform all users of the Customer’s service and using the Customer Account that they are obligated to comply with all laws relating to their use of the call recording feature.

B. Violations of the call recording laws may be subject to criminal or civil penalties.

C. CHARGER ACCESS expressly disclaims all liability with respect to Customer’s recording of telephone conversations. Customer agrees to indemnify and hold harmless CHARGER ACCESS, and any third-party provider(s), from any and all third-party claims, losses, damages, fines, or penalties arising out of Customer’s violation(s) or alleged violation(s) of any call recording laws. CHARGER ACCESS expressly disclaims all liability and all warranties with respect to recording of conversations and/or calls.

D. To store PHI (Personal Health Information), or if Customer qualifies as a “covered entity,” “business associate,” or “subcontractor” under HIPAA (or similar terms under similar legislation in other jurisdictions) or is otherwise subject to HIPAA, Customer may not transmit, receive, or store PHI without the CHARGER ACCESS HIPAA Conduit setting being active and in effect.

E. A breach of obligations in this Section constitutes a material breach of this CHARGER ACCESS AUP, the CHARGER ACCESS Business Customer Terms & Conditions of Service and Use, and any CHARGER ACCESS program and policy documents, as applicable, and CHARGER ACCESS at its sole discretion may: (a) suspend Customer’s use of service; (b) restrict some, any, or all of the Customer Account service functionality; (c) terminate the Customer account with no notice; and/or (d) any combination of the foregoing.


5. Electronic Messaging Abuse

Violation of the CAN-SPAM Act of 2003, or any other applicable law regulating electronic messaging, constitutes a violation of this AUP. For the purpose of this section, “Electronic Message” shall mean any electronic message, including but not limited to email and other forms of web-based or electronic-based correspondence programs.

Electronic messaging abuse is prohibited using CHARGER ACCESS Services. Examples of electronic messaging abuse include but are not limited to:

A. Sending multiple unsolicited Electronic Messages to one or more recipients;

B. Sending unsolicited commercial Electronic Messages directed primarily at the advertising or promotion of products or services;

C. Sending unsolicited Electronic Messages with petitions for signatures or requests for charitable donations, or sending any chain mail related materials;

D. Sending bulk Electronic Messages without identifying, within the message, a reasonable means of opting out from receiving additional messages from the sender;

E. Sending Electronic Messages, files, or other transmissions that exceed contracted-for capacity or that create the potential for disruption of the CHARGER ACCESS network or of the networks with which CHARGER ACCESS interconnects, by virtue of quantity, size, or otherwise;

F. Using another site’s mail server or messaging platform to relay Electronic Messages without the express permission of that site;

G. Using another computer (including smartphones and tablets), without authorization, to send multiple Electronic Messages or to retransmit Electronic Messages for the purpose of misleading recipients as to the origin or to conduct any of the activities prohibited by this AUP;

H. Using IP addresses that the Customer does not have a right to use;

I. Collecting the responses from unsolicited Electronic Messages;

J. Maintaining a site that is advertised via unsolicited Electronic Messages, regardless of the origin of the unsolicited Electronic Messages;

K. Sending Electronic Messages that are harassing or malicious, or otherwise could reasonably be predicted to interfere with another party’s quiet enjoyment of the CHARGER ACCESS Services (e.g., through language, frequency, size, or otherwise);

L. Using distribution lists containing addresses that include those who have opted out from receiving Electronic Messages;

M. Sending Electronic Messages that do not accurately identify the sender, the sender’s return address, the email address of origin, or other information contained in the subject line or header;

N. Falsifying packet header, sender, or user information whether in whole or in part to mask the identity of the sender, originator, or point of origin;

O. Using redirect links in unsolicited commercial Electronic Messaging to advertise a website or service;

P. Posting a message to more than ten (10) online forums or newsgroups that could reasonably be expected to generate complaints;

Q. Intercepting, redirecting, or otherwise interfering or attempting to interfere with Electronic Messaging intended for third parties;

R. Knowingly deleting any author attributions, legal notices, or proprietary designations or labels in a file that the user mails or sends;

S. Using, distributing, advertising, transmitting, or otherwise making available any software program, product, or service that is designed to violate this AUP or the AUP of any other Internet Service Provider, including but not limited to the facilitation of the means to spam.


6. Network and Services Security

CHARGER ACCESS Services may not be used to interfere with, gain unauthorized access to, or otherwise violate the security of CHARGER ACCESS’s (or another party’s) server, network, network access, personal computer, control devices, software, data, or other system, or to attempt to do any of the foregoing. Examples of system or network security violations include but are not limited to:

A. Unauthorized monitoring, scanning, or probing of network or system, or any other action aimed at the unauthorized interception of data or harvesting of email addresses;

B. Hacking, attacking, gaining access to, breaching, circumventing, or testing the vulnerability of the user authentication or security of any host, network, server, personal computer, network access and control devices, software, or data without express authorization of the owner of the system or network;

C. Impersonating others or secretly or deceptively obtaining personal information of third parties (phishing, etc.);

D. Using any program, file, script, command, or transmission of any message or content of any kind, designed to interfere with a terminal session, the access to or use of the Internet, or any other means of communication;

E. Distributing or using tools designed to compromise security (including but not limited to SNMP tools), including cracking tools, password guessing programs, packet sniffers, or network probing tools (except in the case of authorized legitimate network security operations);

F. Knowingly uploading or distributing files that contain viruses, spyware, Trojan horses, worms, time bombs, cancel bots, corrupted files, root kits, or any other similar software or programs that may damage the operation of another’s computer, network system, or other property, or be used to engage in modem or system hijacking;

G. Engaging in the transmission of pirated software;

H. Using any software or device designed to defeat system time-out limits, or to allow Customer’s account to stay logged on while Customer is not actively using the CHARGER ACCESS Services, or using such account for the purpose of operating a server of any type;

I. Using manual or automated means to avoid any use limitations placed on the CHARGER ACCESS Services;

J. Providing guidance, information, or assistance with respect to causing damage or security breach to CHARGER ACCESS’s network or systems, or to the network of any other IP service provider;

K. Failure to take reasonable security precautions to help prevent violation(s) of this AUP.


7. Network and Services Protective Measures

CHARGER ACCESS may, at our sole discretion, take any action to protect and maintain the integrity of CHARGER ACCESS Services, our rights and property, or the rights and interests of others, including but not limited to:

A. Modifying, without advance notice, the acceptable and prohibited data uses, and the optimization requirements for Customer’s data service;

B. Engaging in any reasonable network management practice to enhance customer service, to reduce network congestion, to adapt to advances and changes in technology, and/or to respond to the availability of bandwidth and spectrum;

C. Reducing Customer’s data throughput speeds at any time or place if Customer’s data usage exceeds an applicable usage threshold;

D. Using reasonable methods to monitor and collect customer usage information to better optimize the operation of the network;

E. Changing the Service Plan Customer selected to a Service Plan identified by CHARGER ACCESS that has the same or lower rate;

F. Interrupting, suspending, canceling, or terminating Customer’s service without advance notice;

G. Blocking access to certain categories of numbers (e.g., 976, 900, and international destinations) at our sole discretion.


8. Intellectual Property Rights

CHARGER ACCESS Services shall not be used to publish, submit/receive, upload/download, post, use, copy, or otherwise reproduce, transmit, re-transmit, distribute, or store any content/material, or to engage in any activity that infringes, misappropriates, or otherwise violates the intellectual property rights or privacy or publicity rights of CHARGER ACCESS or any individual, group, or entity, including but not limited to any rights protected by any copyright, patent, trademark laws, trade secret, trade dress, right of privacy, right of publicity, moral rights, or other intellectual property right now known or later recognized by statute, judicial decision, or regulation.


9. Threatening Material or Content

CHARGER ACCESS Services shall not be used to host, post, transmit, or re-transmit any content or material (or to create a domain name or operate from a domain name) that harasses or threatens the health or safety of others. In addition, for those CHARGER ACCESS Services that utilize CHARGER ACCESS-provided web hosting, CHARGER ACCESS reserves the right to decline to provide such services if the content is determined by CHARGER ACCESS to be obscene, indecent, hateful, malicious, racist, defamatory, fraudulent, libelous, treasonous, excessively violent, or promoting the use of violence or otherwise harmful to others.


10. Unlawful Activities

CHARGER ACCESS Services shall not be used in connection with any criminal, civil, or administrative violation of any applicable local, state, provincial, federal, national, or international law, treaty, court order, ordinance, regulation, or administrative rule.


11. Inappropriate Interaction with Minors

CHARGER ACCESS complies with all applicable laws pertaining to the protection of minors, including when appropriate, reporting cases of child exploitation to the National Center for Missing and Exploited Children. For more information about online safety, visit www.ncmec.org.


12. Child Pornography

CHARGER ACCESS Services shall not be used to call, transmit, publish, submit/receive, upload/download, post, use, copy, or otherwise produce, distribute, or store child pornography. Suspected violations of this prohibition may be reported to CHARGER ACCESS at the following email address: usac@chargeraccess.com. CHARGER ACCESS will immediately report any discovered violation of this prohibition to the National Center for Missing and Exploited Children and, as applicable, the proper jurisdictional authorities and local, state, and/or respective federal agencies. CHARGER ACCESS shall take steps to remove child pornography (or otherwise block access to the content determined to contain child pornography) from its network, switches, systems, and servers.


13. User Responsibility for Content

CHARGER ACCESS Services Users are solely and fully responsible for the content of any material posted, hosted, downloaded/uploaded, created, accessed, or transmitted using the CHARGER ACCESS Services. CHARGER ACCESS has no obligation to monitor content of any materials distributed or accessed using CHARGER ACCESS Services. However, CHARGER ACCESS may monitor content of any such materials as necessary to comply with applicable laws, regulations, or other governmental or judicial requests, or to protect CHARGER ACCESS Services and its customers. CHARGER ACCESS has no responsibility for any material created on or using CHARGER ACCESS’s network or accessible using CHARGER ACCESS Services, including content provided on third-party websites linked to the CHARGER ACCESS network. Such third-party website links are provided as Internet navigation tools for informational purposes only, and do not constitute in any way an endorsement by CHARGER ACCESS of the content of such sites.


14. CHARGER ACCESS Remedies in the Event of Customer AUP Violation or Suspected Customer Violation

A. CHARGER ACCESS reserves the right, at its sole discretion, to determine if a Service is being used for any of the foregoing purposes or activities.

B. Violation of this Policy may result in civil or criminal liability, and CHARGER ACCESS in its sole discretion, in addition to any remedy that it may have at law or in equity, may immediately terminate permission for the Customer and its Users to use the Services, or any portion of the Services, and may charge Customer any applicable rates and cancellation or termination fees. In addition, CHARGER ACCESS may investigate incidents that are contrary to this AUP and provide requested information to third parties who have provided notice to CHARGER ACCESS stating that they have been harmed by a Customer’s failure to abide by this AUP or the policies set forth in the documents incorporated by reference within this AUP. Additionally, CHARGER ACCESS at its sole discretion may bring legal action to enjoin violations and/or collect damages caused by any violation of any part of this AUP by Customer or users of Customer.

C. Any violations or attempted violations of this AUP by any Customer and/or its users (or any third party on behalf of any Customer or Customer’s users) will constitute a violation of this AUP by the Customer and a material breach of any applicable CHARGER ACCESS Business Customer Terms & Conditions of Service and Use, including without limitation any applicable amendments to the CHARGER ACCESS Business Customer Terms & Conditions of Service and Use and any additional governing CHARGER ACCESS program and policy documents.

D. CHARGER ACCESS’s failure to enforce this AUP in any or every instance in which it might have application does not amount to a waiver of CHARGER ACCESS’s rights.

E. IN NO EVENT WILL CHARGER ACCESS BE LIABLE TO ANY CUSTOMER OR USER OR THIRD PARTY FOR ANY DIRECT, INDIRECT, PUNITIVE, SPECIAL, CONSEQUENTIAL, OR OTHER DAMAGES FOR ACTIONS TAKEN OR NOT TAKEN PURSUANT TO THIS AUP, INCLUDING WITHOUT LIMITATION ANY LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR DATA, OR OTHERWISE, EVEN IF CHARGER ACCESS MAY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION OF LIABILITY IN FAVOR OF CHARGER ACCESS IS IN ADDITION TO ANY LIMITATIONS SET FORTH IN THE CHARGER ACCESS BUSINESS CUSTOMER TERMS AND CONDITIONS OF SERVICE AND USE WHICH THE CUSTOMER SIGNS WHEN THEY PURCHASE THE SERVICE, AND WILL APPLY WHETHER THE ACTION IN WHICH RECOVERY IS SOUGHT IS BASED IN CONTRACT OR TORT (INCLUDING WITHOUT LIMITATION NEGLIGENCE OR STRICT LIABILITY) OR ANY APPLICABLE LAWS.


15. Changes to This Policy

CHARGER ACCESS reserves the right to make changes to this Policy, so please check back periodically for changes. You will be able to see that changes have been made by checking the effective date posted at the top of the Policy.
